June was another busy month for EMW’s Corporate and Banking team, advising businesses, investors and lenders on a range of complex corporate transactions across the UK. From employee ownership and incentive schemes to acquisition finance, restructuring and venture investment, our team delivered practical legal advice to help clients achieve their commercial objectives.
Highlights from June include:
- Employee Ownership – Advised on and supported a growing London construction company with a turnover of £109m move to employee ownership securing a legacy for the founder and preserving the businesses culture and values.
- Employee Incentive – Proudly supported a leading business in the utilities sector by implementing a tailored EMI employee share option scheme and the granting of share options to its valued employees.
- Restructure – completed a restructure for a high-profile soft drink brand, rolling ownership into a new US holding company.
- Care Home Buyout – advised a private investment company on the buyout of a residential care business, including securing a multimillion-pound loan facility with comprehensive security arrangements spanning multiple entities and freehold properties.
- Healthcare Finance – advised a leading bank on a loan to support the acquisition of a well-established medical innovation business and its associated leasehold property in Bournemouth.
- Venture investment – advised the lead investor in a further investment of up to £3.3m in its existing portfolio company which operates in the food and beverages industries.
