Advising MKM in the sale of the company’s entire issued share to Everfield UK Ltd

EMW Law LLP has advised the shareholders of Myknowledgemap Limited (“MKM”) in the sale of the company’s entire issued share to Everfield UK Ltd.

EMW advised Rob Arntsen, the majority shareholder of MKM (and former Head of Learning Technologies at IBM) and Adam Doyle, Managing Director and shareholder of MKM. Adam said:

MKM is an award-winning learning technology business used by leading educational and training organisations around the world. MKM’s products and services include bespoke learning platforms for full-scale training and educational projects, as well as dedicated and comprehensive solutions and tools to support independent programmes.

In the financial year ending 31 March 2023, MKM generated revenue of £1,210,040.

Everfield is a long-term investor and growth accelerator for mission-critical software companies.

The transaction included a revenue target based earn-out structure over 2 years, to incentivise the key shareholders and management in the company, in the next stage of its growth with Everfield. There were also complexities involving the exercise of an EMI option scheme immediately before completion, increasing the selling shareholder group to 16.
