A team led by EMW Chair Nick Lloyd acted for the shareholders of JCA Engineering on the sale of JCA to Mitie plc. Nick was supported by a team of 12 fee earners across a range of EMW’s service offerings, notably Ross Hayward and Sarah Simon (Corporate), Sharon Percival and Amanda de Bruyn (Company Secretarial) and Priya Magar (Employment).

Stevenage based JCA Engineering is an engineering services-led principal contractor employing 200 people. It designs, builds and maintains buildings that have a high degree of mechanical and electrical engineering systems, such as data centres.

Nick said:

“We are so pleased to have helped Ian, Tom and the wonderful team at JCA to get this done. We first met in 2004 when JCA was being formed (matter number 1 was the original shareholders agreement). Some 19 years and 130 odd matters later – across pretty much every service offering EMW has – it was a huge pleasure to assist on the sale to Mitie. Mitie has found a great business in JCA and JCA has found a great home to build and grow on its already considerable success story. Ian and Tom have, with a mix of perspiration and inspiration, built something seriously impressive.”

Ian Hodges-Jackson said:

“Having worked with Nick at EMW since the inception of JCA, EMW have provided advice and support on operational, legal and constitutional matters with the utmost professionalism, dedication and attention to detail. There was no other consideration other than to engage Nick and his team to work with Tom and I to achieve the completion of JCA’s acquisition by Mitie. Nick’s experience, alongside the commitment of his team ensured that we were able to work through the due diligence and sale process with confidence and maintain a high level of certainty of a successful outcome, of which we are extremely pleased to have achieved. EMW’s role in the process has been invaluable”.
