EMW has advised a group of private investors, investing into Flevera Limited, via the highly tax efficient government SEIS and EIS schemes – alongside Founder, Chris Stott.
Flevera is AI-native infrastructure that automates and connects the fleet industry. It connects the six parties in every fleet order – manufacturers, dealers, leasing companies, brokers, third-party partners and end users – around one shared record, so everyone sees the same order at the same time. It competes with none of them. It keeps every system in sync, and Flev, its agentic AI colleague, does the chasing: it spots what’s slipping and acts before anyone has to ask.
The EMW team was led by Nick Lloyd. Nick was assisted by Abbie Mckenzie, a Trainee Solicitor in the Corporate department.
Nick said:
“Chris is one of those people one always has time for. He is charming, highly intelligent, always driven, always enquiring. He listens to advice (not all do!). He has identified a space in the market where Flevera can (and will) enable a wide range of parties involved in the fleet chain to all benefit (everyone wins, no-one loses) from what Flevera has to offer. I am very much looking forward to the ride.”
Chris Stott commented:
“Auto-tech has mostly focused on retail, yet fleet and business account for 60% of new UK car registrations. If you’ve ordered an electric car through your employer’s salary sacrifice scheme, that was a fleet order, and leasing companies see salary sacrifice as the most effective tool for getting private drivers into EVs. That matters: Battery Electric Vehicles are at 26.2% of the market so far this year against a 33% Zero Emission Vehicle mandate target, and fleet is where much of that gap will be closed. Interest in our launch-partner programme has gone well beyond what we expected, from brands and partners right across the chain.
I’ve known Nick for well over a decade, from Fevore Group through to his time as a non-exec on the SalesMaster board, so he was one of the first people I called when I started planning Flevera. What Nick and EMW brought went well beyond the shareholders’ agreement and subscription documents. If lawyers in these times need to add more than basic legal advice (and I firmly believe that they do), then that is what we got here in spades.
Nick introduced me to Seb Tubb, who guided us superbly through the SEIS & EIS process. Nick sat with me and informal lead investor, Jenny Oscroft, and played a huge part in not only enabling us to come up with terms that struck a fair balance between me as Founder and the Investor group, but also looking several moves ahead on the chess board – when would a seed investor need to be introduced, then a Series A round, what did we need to set up now (or avoid setting up now) to ensure the move to future funding rounds could be as seamless as possible?
Nick helped on thinking around how to keep investors up to date, engaged and, in some cases, to add their own expertise into the mix. Abbie managed the detail, herding a lot of cats with vast reserves of patience. Then Nick put his money where his mouth is and became an investor himself, which says it all.”
